Official Home Raffle Rules

BigRaffles.com is a web site owned by "We Are Communities Foundation", a California non-profit organization (hereinafter referred to as the "Sponsor"). The person purchasing the raffle ticket is referred to as the "Purchaser". Collectively, the Sponsor and the Purchaser will be referred to as the Parties. The specific event where raffle tickets are being sold to support is referred to as the "Raffle Event". By purchasing a raffle ticket from BigRaffles.com, Purchaser acknowledges that he or she understands and agrees to be bound by these Official Rules and the web site's Terms & Conditions, which shall constitute a contract between Purchaser and Sponsor. All decisions of Sponsor with respect to the event shall be final.

Sponsor shall develop and administer one or more Raffle Events through its raffle announcement websites. Interested purchasers of raffle ticket(s) shall have the ability to enter one or all of the active Raffle Events and in doing so, will have a chance of winning designated prizes. Each Raffle will offer a real-property home (hereinafter referred to as the "Property") as the grand prize, subject to the rules set forth herein. These Rules govern the raffle and are binding on everyone who buys and is named on a raffle ticket.

Prizes

Grand Prize:

$1 Million Cash

Other Prizes:

1st Prize: New 2011 Toyota Prius or $30,000 Cash

2nd Prize: New 2011 Waverunner or $10,000 Cash

3rd Prize: Trip for 2 to Maui, Hawaii

200 Additional Prizes (referred to as "Other Prizes"), which include tickets to sporting events, Disneyland, great vacation get-a-ways, home décor, restaurants, and fun events. If the Purchaser buys two or more tickets during a single transaction or refers others to purchase raffle tickets, they will automatically be entered into a separate contest for an additional $10,000 prize.

The drawings for these prizes will occur in reverse order, starting with the lowest prize and ending with the first prize. After all these tickets are drawn, they will be returned to the drum and eligible to also win the Grand Prize. Therefore, it is possible for one ticket to win the Grand Prize and one other prize.

Deadlines and Drawing Dates

To be eligible, ticket order with payment must be received in our office no later than 5:00pm Pacific Time Tuesday February 15th, 2011 to be eligible to participate or win any of the designated raffle prizes. The Drawing for the prizes will occur Friday February 18th, 2011, at noon, at the office of We Are Community Foundation, unless the minimum number of tickets to conduct the raffle isn't received.

All Raffles drawings are open to the public. You do not need to be present to win and you do not need to have your Raffle ticket to win. Each Raffle requires a minimum number of tickets to be sold to conduct the contest. In the event the minimum number of Raffle tickets for an event are not sold by the event deadline, the Raffle may be extended as deemed necessary by Sponsor. Each Raffle Event may be extended for up to ninety (90) days at the sole discretion of Sponsor without notice. In the event the minimum number of Raffle tickets is still not achieved, ticket Purchaser will have the option of applying their ticket to another Raffle or receive a full refund on the purchase of their ticket. It is recommended that ticket Purchasers visit www.BigRaffles.com/ regularly for up-dated information regarding any Raffle Event.

Raffle Tickets

Each raffle ticket costs $150. A maximum quantity, not to exceed 120,000 tickets, will be issued. Tickets can be bought in the name of 1, 2, 3 or 4 people. If more than 4 names appear on a ticket entry form, then only the first 4 names appearing will be the holders of that ticket. Ticket receipts will be sent to first person listed on the entry order. Any prize and related tax liability will be distributed equally to all named persons on the entry form. Any ticket entry forms that are deemed, at the Sponsor discretion, to be defective, illegible, or illegally procured will not be honored. A person named on a ticket cannot sell, give away or otherwise transfer that person's interest in the ticket. The Sponsor assumes no responsibility for lost, misdirected, late or non-delivered mail or other failure to timely buy tickets. According to the Internal Revenue Service, the price of a raffle ticket is not a tax-deductible charitable contribution, but it may qualify for a gambling loss deduction.

How to Buy Tickets

Raffle tickets can only be bought by the following methods. 1) directly purchase from Sponsor's representative; 2) by phone, by calling 1-877-6-Raffle; 3) by faxing the order form to 866-495-2325 or 4) by delivering the order form to: We Are Community Foundation, 1910 S. Archibald Ave., Suite I, Ontario, CA. 91761 USA. If the purchaser of the raffle uses the on-line electronic application, the purchase cannot be completed until a representative of Sponsor calls the purchaser via a telephonic device to confirm the application and collect the required payment. Payment for Raffle ticket purchases can be made with valid credit card (Visa, MasterCard, or American Express), which includes the credit card holders name, address, account number, security code, and expiration date. Acceptable forms of payment also include check or money order payable to “We Are Community.” Any cash payments can only be completed by presenting payment in person to an authorized person or representative of We Are Community. The identity of persons authorized to receive payment in behalf of Sponsor can be confirmed by calling our office at 1-877-6-Raffle. Orders will be processed in the approximate order in which they are received and verified. Tickets cannot be purchased via voice mail message, over the Internet, or via an on-line merchant account system. All sales are final. No payments will be refunded, including without limitation, payments received from ineligible parties, except at the discretion of the Sponsor.

Grand Prize Valuation

Each Raffle Event grand prize valuation (real property home) shall be a sum determined by an independent licensed real estate appraiser selected by Sponsor. The Raffle Event valuation price of the Property shall be the amount determined by appraisal as its current fair market value at the time of the Raffle Event deadline. The funds raised for the Raffle Event shall not be less than the fair market value of the Property designated as the Grand Prize for that Raffle Event as determined by the appraisal. The Grand Prize winner acknowledges that government authorities may place a different value on the home than the Sponsor placed on the home in determining any income, property, transfer, or other taxes or fees that may be attributable to the Grand Prize. There is no representation or warranty by Sponsor, actual or implied, that the Property could be sold for the Raffle Event valuation price on the open market, or at any other price.

Eligibility

Raffle ticket buyers and each person named on a ticket must be at least 18 years old at the time of purchase. Raffle tickets must be purchased using a method of payment as described in these Rules. Raffle tickets cannot be bought in the name of businesses, trusts, corporations, or other entity. This raffle is void where prohibited by law.

Prize Awards

There will be only one (1) grand prize winner chosen for each separate Raffle Event as designated on the website www.BigRaffles.com. Before purchasing any raffle tickets, Purchaser should carefully review these official rules and the specific terms of each Raffle Event. Provided that all Raffle Event requirements have been met, the grand prize winner of each Raffle Event will be awarded a fee-simple title to the real property identified for the Raffle Event as designated on the marketing website. The Sponsor, at their sole discretion can substitute any grand prize home with another home in the same locale of equal or greater value. Contestants can elect to accept the alternate cash prize, if applicable, for the particular Raffle Event.

At least 100,000 raffle tickets must be sold by the ticket purchase deadline in order for the Grand Prize winner to have the choice of the home or the Alternate Grand Prize of $350,000 cash. If less than 100,000 tickets are sold by the deadline, then only the Other Prizes will be awarded along with a cash prize equal to 50% of any net raffle proceeds to the grand prize winner. Net raffle proceeds are defined as total ticket sales revenue minus the cost of all other prizes (whether or not claimed or awarded) and minus all raffle-related expenses as determined by the Sponsor. The 100,000 ticket threshold may be lowered at the Sponsor's discretion.

When real property is awarded as the Raffle grand prize, it will be granted as Fee-Simple Title to the property, free from any mortgage with property taxes prorated and paid up-to-date at time of closing. The property will be transferred to the Raffle ticket winner along with a title insurance commitment, the cost of which shall be paid by the Sponsor. Additional closing costs to be paid by Sponsor shall be limited to attorney, title company services, and related mailing fees for signatures related to the legal transfer of the property. The winner is not obligated to attend a closing for the property. However, if said winner chooses to attend the closing, the winner will be responsible for all of their own personal costs and expenses associated with their attendance at the closing of the property, including but not limited to their own transportation to and from the closing, hotel, meals, etc. Furthermore, the grand prize winner is responsible for the payment of all property taxes assessed on the awarded property after the time of closing.

The escrow and title company used to facilitate the closing process of the property will be chosen by the Sponsor. Sponsor intends to complete the transfer of title and ownership of the residence on or before two (2) months following the ticket drawing date. The exact closing date shall be set by the title company. Real property awarded as a prize shall be awarded "AS IS" and "WITHOUT WARRANTY OF ANY KIND BY SPONSOR OR ANY OTHER PERSON", expressed or implied, (including, and without limitation, any implied warranty of merchantability or fitness for a particular purpose).

Winning of tangible prizes in a contest in the United States are subject to gift taxes. Prize winnings are not taxable in some states, but are subject to federal tax from the Internal Revenue Service. The Sponsor is required to report the winning of prizes to the Internal Revenue Service. The Sponsor does not pay nor is obligated to pay the gift taxes or any associated taxes assessed on any prizes issued to Raffle Event winners.

Except where prohibited by law, the winner must execute specific affidavits provided by Sponsor to claim their prize. The documents include the following: (1) Affidavit of Eligibility, attesting to the winner's eligibility and compliance with the Official Rules and Terms & Conditions; (2) a Liability Release, releasing Sponsor from any liability arising out of the Raffle Event; (3) proof of identity satisfactory to the Sponsor showing that the person claiming the prize is the same person named on the winning ticket; and (4) a Publicity Release, allowing Sponsor to use the winner's name, likeness, voice, and biographical information for publicity purposes. Winner will also be required to provide any other information needed by Sponsor to comply with applicable laws and regulations, including those relating to the proper titling of the home and payment of income taxes.

The Sponsor has made every effort to display the real property and improvements as accurately as possible. However, variations in color, display and appearance may be apparent depending upon the capability of particular pictures, monitors, servers and printers, which may greatly affect the actual representation of the Raffle Event property. Sponsor is not responsible for any variations in the representation of the subject property. Due to availability of the subject property outside the control Sponsor, displayed property can be substituted at any time. Any substitution will be with a property located in the same local area to the displayed prize property. The substituted property will be of equal or greater value with related size and specifications.

The winner may be notified by email, phone and/or in writing by overnight courier within five (5) days of the drawing. The Sponsor will make reasonable efforts to contact the persons named on a winning ticket, using only the information on the winning ticket entry form. If despite those efforts the persons named on a winning ticket cannot be located within 30 calendar days after the drawing or if any such person is ineligible under these Rules or applicable law, then that person will not be awarded the prize. No other ticket will be substituted for that ticket and the prize will be retained by the Sponsor. Any prize that is not claimed within sixty days after the drawing will cause the prize to be forfeited and then retained by the Sponsor as determined solely by the Sponsor. Sponsor is not responsible for misdirected mail or inaccuracies in the address or phone number provided by the Contestant.

Limitations of Liability

Each person who buys a raffle ticket and/or whose name appears on a ticket: (a) agrees that the Sponsor, its directors, officers, employees, agents, representatives, the home seller and all other prize providers are not responsible for any injuries, losses or damages of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize, or that person’s award of, acceptance of, or use of, any prize; and (b) releases and agrees to indemnify, defend, protect, and hold harmless the Sponsor, the home seller and all other prize providers and each of its respective officers, directors, shareholders, employees, agents, contractors, insurers, attorneys and affiliated entities from and against all losses, damages, rights, claims and actions of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize, or that person's award of, acceptance of, or use of, any prize; and (c) represents and warrants to the Sponsor that he/she has read and understands these Rules and agrees to be bound by these Rules and the Sponsor’s decisions, which will be final.

In no event will Sponsor, its respective officers, directors, employees, representatives or agents, immediate family, members or residents of their households, or judges of the Raffle Event, Sponsor, its affiliates or their employees and partners, the Sponsor’s web site provider or their respective officers, directors, employees, representatives or agents, immediate family members or residents of their households be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential, statutory or punitive damages. Without limiting the foregoing, with respect to the Raffle Event and to the prize(s), Sponsor makes no warranty of any kind, either express or implied, including but not limited to, the implied warranties or merchantability of fitness for a particular purpose. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you. Raffle ticket Purchasers should check their local laws for any restrictions or limitations regarding these limitations or exclusions.

Dispute Resolution

By entering the Raffle Event, each Purchaser agrees that any controversy or claim arising out of or relating to the participation in the Raffle Event shall be settled by arbitration, before a single arbitrator, administered by the American Arbitrations Association under its Residential arbitration rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The venue of the arbitration shall be in Los Angeles County, California USA, and shall not be subject to transfer to another venue or locale for any reason. By entering the Raffle Event, each ticket Purchaser further agrees that the Raffle Event will not commence or participate in any litigation or proceeding, either as a class representative or as a class member, and that Purchaser will never seek to obtain from Sponsor awards for, and he hereby waives all rights to claim, statutory, punitive, incidental, or consequential damages, or any other damages, including attorney's fees, other than actual out-of-pocket expenses (i.e. costs associated with entering the Raffle Event).

Copyright Ownership and License

Ticket Purchasers acknowledge and agree that their name, city, state and contact information are non-confidential for all purposes and the Sponsor may disclose this information in conjunction with announcements related to prize winners. Governing Law

Sponsor from its offices located in California, in the USA controls this Site. The Site can be accessed from all 50 states, as well as from other countries around the world. As each of these jurisdictions has laws and regulations that may differ from those of USA, by accessing this Site, both you and the Sponsor agree that the statutes and laws of the USA without regard to conflicts of laws principles thereof, will apply to the Raffle Event, these Official Rules, the entire relationship between Sponsor and ticket Purchaser, and any legal proceeding arising there from (whether grounded in tort, contract, law or equity). In the case of a dispute, subject to the provisions of the Dispute Resolution paragraph above, Purchaser and Sponsor agree any litigation arising between the parties hereto shall be brought only in the state or federal courts having subject matter jurisdiction in Los Angeles, California USA. Purchaser has irrevocably and unconditionally consented to the jurisdiction of any such court and hereby irrevocably and unconditionally waive any defense of an inconvenient forum to the maintenance of any action or proceeding in any such court, any objection to venue with respect to any such action or proceeding, and to any right of jurisdiction on account of the place of residence or domicile of any party thereto.

Severability of Illegal Provisions

Wherever possible, each provision of the Rules and Regulations shall be interpreted in such a manner as to be effective and valid under applicable law. Should any portion of this document be declared invalid for any reason, such declaration shall have no effect upon the remaining portions.

Rights of Third Parties

Unless expressly stated herein to the contrary, nothing in these Contest Rules, whether express or implied, is intended to confer any rights or remedies under or by reason of these rules on any persons other than the Parties hereto and their respective legal representatives, successors and permitted assigns.

Amendment of Rules

Sponsor may amend the Official Rules in its sole discretion. Amendments will be posted on the Sponsor Website at www.BigRaffles.com/. Unless otherwise specified, any amendments will become effective on the day they are posted on the Sponsor's website.

Entire Agreement

These Official Rules and the web site's Terms and Conditions are an integral part of the agreement between the Sponsor and ticket Purchaser. There are no other representations, warranties, promises, agreements or understandings, oral, written or implied, among the Parties, except to the extent reference is made thereto in these rules.
